Terms and Conditions of Use

1. Acceptance of Terms

By accessing or using TorqueAI Dispatch (the “Platform”) or by purchasing any products or services from Kordova Tek Inc., including through Stripe payment links or other online checkout methods, you acknowledge and agree to be legally bound by these Terms and Conditions (“Terms”). If you do not accept these Terms, you must not access, use, or purchase any products or services from us. Your continued use of the Platform constitutes acceptance of any updates or modifications to these Terms, which may be amended from time to time at our sole discretion.

2. Service Description

The Platform provides a transportation management system (TMS) for long and short-haul transportation, freight logistics, and related administrative functions, including but not limited to:

  • Dispatch management
  • Proof of delivery (POD) document control
  • Billing and invoicing
  • Driver and owner-operator settlement reports
  • Sales reports
  • Assignment and tracking services and integrations

The Platform is provided on an “as is” and “as available” basis without any warranties, representations, or guarantees of any kind, express or implied, including but not limited to the uninterrupted or error-free operation of the Platform, or the accuracy, reliability, or completeness of AI-driven recommendations.

3. User Responsibilities

Users of the Platform agree to:

  • Ensure that all data input into the Platform is accurate, complete, and up to date.
  • Use the Platform in full compliance with applicable local, provincial, state, and federal laws, regulations, and these Terms.
  • Assume full responsibility for business decisions made based on outputs generated by the Platform.
  • Verify and validate AI-driven recommendations, including document scans, rate calculations, addresses, and sensitive data, as TorqueAI Dispatch does not guarantee the accuracy or completeness of such outputs.

4. Limitation of Liability and Disclaimer

The Platform serves as an operational support tool and does not replace human judgment or due diligence.

TorqueAI Dispatch, its affiliates, directors, officers, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or related to the use or inability to use the Platform, including but not limited to financial loss, business interruption, lost revenue, lost profits, loss of data, or incorrect AI-generated or user-inputted data.

To the fullest extent permitted by applicable law, all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed.

5. Data Ownership and Use

Users retain ownership of the data they input into the Platform and this data is encrypted, under complete confidentiality in every circumstance.

TorqueAI Dispatch implements all industry-standard security measures to protect user data but does not guarantee absolute security against unauthorized access, breaches, or threats. It is your responsibility to ensure unauthorized individuals do not have access to your machine, share passwords/accounts, and to set up multi-factor authentication and not share your credentials with anyone.

6. Account Suspension and Termination

We reserve the right to suspend or terminate a user’s access to the Platform without prior notice if we determine, in our sole discretion, that there has been a violation of these Terms, misuse of the Platform, fraudulent activity, or any conduct that compromises the integrity of the Platform.

Users remain responsible for any outstanding obligations or fees incurred prior to termination.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from or related to these Terms shall be subject to binding arbitration in British Columbia, except where prohibited by law.

8. Proprietary Rights

TorqueAI Dispatch is the exclusive property of Kordova Tek Inc., a Canadian corporation. All rights, title, and interest in and to the Platform, including all intellectual property rights, are owned by Kordova Tek Inc. Unauthorized use, reproduction, or distribution of any aspect of the Platform is strictly prohibited.

9. Billing, Subscription, and Refund Policy

By subscribing to any paid plan, module, or add-on feature within TorqueAI Dispatch, you authorize Kordova Tek Inc. to charge your designated payment method on a recurring basis, in accordance with the selected billing cycle (e.g., monthly or annual), until such time as you properly cancel the subscription in accordance with these Terms.

All fees paid are non-refundable, including, but not limited to, fees for partial periods of service, unused features, or instances of failure to cancel in advance. Subscription charges are final and non-negotiable, and you agree not to seek chargebacks, credits, or reversals for any amounts billed in accordance with these Terms.

To cancel a subscription, you must send written notice to support@kordovatek.com no less than five (5) business days prior to your next scheduled billing date. Failure to do so will result in continued billing for the subsequent billing cycle. You remain solely responsible for maintaining accurate billing credentials and account information.

Initiating a chargeback, payment reversal, or dispute through your payment provider without first attempting to resolve the issue directly with our support team at support@kordovatek.com shall constitute a breach of this Agreement. In such instances, we reserve the right to immediately suspend or terminate your access to the Platform and to seek full reimbursement for any chargeback-related losses, including associated bank fees, administrative costs, and legal expenses.

10. Service Availability and External Dependencies

TorqueAI Dispatch is built on modern infrastructure using third-party services to provide a fast, scalable, and secure experience. While we maintain redundancy and follow industry best practices to maximize uptime and reliability, we do not guarantee uninterrupted access to the Platform.

Kordova Tek Inc. shall not be held liable for any delay, failure, or disruption in service arising from external platform outages, including downtime or performance issues with cloud hosting, third-party APIs, infrastructure providers, or internet connectivity beyond our control.

We expressly disclaim all liability for any loss, damage, or business interruption resulting from such events. Users are encouraged to implement internal contingency procedures, as the Platform may be temporarily unavailable due to scheduled maintenance, third-party downtime, or unforeseen technical issues.

Privacy Policy

1. Purpose

This Privacy Policy outlines how TorqueAI Dispatch collects, processes, stores, and protects user data in compliance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA).

2. Data Collection

We collect the following categories of data:

  • Personal Information: Includes names, business contact details, company information, and payment information.
  • Usage Data: Includes system logs, operational inputs, user interactions, and device-related information.

3. Data Use

The data collected is used solely to provide, maintain, and improve the functionality of the Platform.

We do not sell, rent, or disclose personal information to third parties, except where required by law or with explicit user consent.

4. Data Security

All data is stored securely within North America using encryption and industry-standard safeguards.

While we employ robust security measures, absolute protection against unauthorized access or breaches cannot be guaranteed.

5. Data Sharing

User data will not be shared with third parties except when required by Canadian or U.S. law, legal proceedings, or regulatory obligations.

Aggregated and anonymized data may be used internally for business intelligence and service enhancements.

6. User Rights

Users may access, update, or correct their personal information via their account settings.

Users may request the deletion of their personal data, subject to legal and operational retention requirements.

7. Changes to This Policy

TorqueAI Dispatch reserves the right to update this Privacy Policy at its discretion. Users will be notified of significant changes, and continued use of the Platform constitutes acceptance of any revised policy.

9. Cost Recovery for Legal Disputes

To the fullest extent permitted by applicable law, if a user initiates any legal claim, dispute, or proceeding against TorqueAI Dispatch or Kordova Tek Inc. and such claim is dismissed, withdrawn, or otherwise unsuccessful, the user shall be responsible for indemnifying TorqueAI Dispatch or Kordova Tek Inc. for all reasonable legal costs, including but not limited to solicitor-client costs, court fees, and disbursements, in accordance with the applicable cost recovery principles under Canadian law.

These Terms and Privacy Policy constitute the entire agreement between you and TorqueAI Dispatch regarding the use of the Platform and supersede any prior agreements or understandings, whether written or oral.
